The Bitcoin Fund is currently open for daily private placement subscriptions in reliance on the “accredited investor” exemption from the prospectus requirement in Canada, subject to completion of appropriate private placement documents as well as compliance with applicable securities laws in the jurisdiction of residence of the purchaser. Following a four-month holding period, investors in the private placement may elect to sell their shares. The Fund’s units have not been registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or any applicable exemption from the registration requirements
